Business Litigation Practice

Our practice includes complex business litigation for clients in many different industries. In some cases, we represent plaintiffs; in others, we represent defendants. Our clients include both public and private companies, as well as individuals.  We’re based in Dallas, but we handle cases all over Texas and beyond.  Below are some examples of the kinds of matters included in our business litigation practice.

Contract Disputes

We represent individuals and businesses with problems involving contractual relationships. Our experience in contract disputes is wide ranging and includes the following kinds of disputes:

  • Commercial real estate leases
  • Real estate purchase agreements
  • Debt instruments (such as promissory notes and guaranty agreements)
  • Operational matters (such as management agreements and contracts for services of various types)
  • Organizational matters (such as buy-sell agreements and partnership agreements)
  • Dissolution matters (such as control changes, buy-outs, and business “divorces”)

Franchise-related Disputes

Our business disputes practice also includes representation of businesses with problems in franchise relationships. We help franchisors find solutions to problems created when franchisees don’t pay royalties, fail to meet quality standards, unlawfully use trademarks, service marks, or other intellectual property after termination of the franchise relationship, or otherwise default on their obligations under franchise and related agreements. Although we file lawsuits when necessary, we help franchisors negotiate solutions to these problems before having to resort to litigation. We also represent franchisors in lawsuits filed by franchisees asserting various claims relating to the franchise relationship.

Mortgage Industry Disputes

We also represent clients in the mortgage industry. Our experience in this area includes evaluation and handling of claims involving fraud or substandard underwriting practices in residential mortgage lending.  We’ve evaluated thousands of claims made against private mortgage insurance policies, advising the insurers under those policies about coverage and underwriting issues.  We also handle mortgage repurchase claims, in which we represent businesses that purchased residential mortgage loans and have problems with early payment defaults or other breaches of the representations and warranties in mortgage purchase agreements. Working with outside investigators, we identify and evaluate breaches of the contractual promises made by sellers of the mortgages and prosecute repurchase claims.
